By accessing or using Helm GP ("the Service"), operated by Omni One Limited ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.
These terms apply to all users of the Service, including practice administrators, clinical staff, and any other authorised individuals who access the Service on behalf of a GP practice.
Helm GP is a practice management platform designed for UK GP practices. The Service provides tools for staff scheduling, leave management, meeting coordination, task management, clinical governance tracking, and related administrative functions.
The Service is intended for operational and administrative use only. It is not a clinical decision support tool and must not be used to store, process, or transmit patient identifiable information or patient clinical data.
Access to the Service is by invitation from an authorised practice administrator. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate accounts where we believe security has been compromised.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal data of your staff members as a data processor on your behalf. You remain the data controller for all staff data entered into the Service.
All data is stored in the European Union (AWS eu-west-2, London). You are responsible for ensuring you have appropriate lawful bases under UK GDPR for processing staff personal data using the Service.
The Service is offered on a subscription basis. Pricing is set out on our Pricing page. New practices begin on a free trial period. We will notify you before any trial period ends.
Subscriptions renew automatically unless cancelled before the renewal date. We reserve the right to modify pricing with 30 days' written notice.
We aim to provide a reliable service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, infrastructure issues, or circumstances beyond our control.
We will endeavour to provide advance notice of planned maintenance where possible.
The Service and all its content, features, and functionality are owned by Omni One Limited and are protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any part of the Service without our written consent.
You retain ownership of all data you enter into the Service. You grant us a limited licence to process that data solely for the purpose of providing the Service to you.
To the fullest extent permitted by law, Omni One Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Service.
Our total liability in connection with these terms shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.
Either party may terminate the subscription on 30 days' written notice. Upon termination, we will provide a data export in a standard format for 30 days, after which your data will be securely deleted.
We reserve the right to suspend or terminate access immediately in cases of material breach of these Terms.
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
